Mitchell Gordon is an expert witness in corporate governance, capital markets and SPAC-related litigation. He has served as President and Chief Financial Officer and has sat on the boards of multiple SPAC vehicles. He brings significant expertise in investment banking, M&A, start-ups and restructuring transactions, with a focus on logistics and transportation, media and specialty finance.
After earning his MBA from the Harvard Business School, Mr. Gordon began his career in strategic planning and mergers and acquisitions and progressed to becoming a partner at Salomon Smith Barney, where he ran the Global Transportation Investment Banking Group. He subsequently served as President of Morpheus Capital Partners and CEO of Edition Capital Partners, both boutique investment banking firms. In these roles, Mr. Gordon advised on transactions exceeding $50 billion in aggregate value, and led teams on numerous IPOs, capital markets transactions, mergers, SPAC transactions and corporate restructurings.
As a corporate executive, Mr. Gordon served as Executive Vice President, CFO, and a member of the Office of the President of Interpool, (NYSE:IPX), where he helped build the company into the world’s largest lessor of international cargo containers and chassis. He also served as President and CFO of a Special Purpose Acquisition Company (“SPAC”) (NASDAQ: CCAC) that successfully completed the acquisition of a technology company. In addition, he founded and served as President of Atlas Capital Partners, a private equity firm.
Mr. Gordon was also CEO of Adgile Media Group, a start-up he helped build into the world’s leading tech-enabled truck-side media company. He also was CEO of Edition Logistics Management, the New England’s largest independent trucking and logistics company.
Drawing on this experience, Mr. Gordon has acted as an expert witness and litigation consultant in complex commercial, securities and SPAC-related matters. His work has included disputes involving management conduct and fiduciary responsibilities in connection with SPAC mergers, securities class actions, and private equity-related matters involving acquisition structuring, valuation methodologies and the calculation of investor returns. He has also provided expert support in regulatory investigations, arbitrations and litigation concerning investment banking practices, broker-dealer issues, corporate governance and restructuring matters.
Across his career, Mr. Gordon has sat on the boards of twenty corporations and organizations, including six public companies, eight private companies, and six not-for-profit organizations. His board experience includes oversight of public company reporting, capital allocation, mergers and acquisitions, restructurings, executive management and corporate governance.
