David Locala has over 30 years of experience in investment banking, with a particular focus on mergers and acquisitions and capital markets transactions for companies in the technology sector. He has advised on more than $200 billion in completed transactions, including buyside and sell side M&A for public and private companies, leveraged buyouts, contested transactions, and complex financing structures.
David most recently served as Global Head of Technology M&A at Citigroup, based in San Francisco. He provided M&A advice to companies in the software, semiconductor and Internet sectors, handling negotiations, valuation analysis, due diligence and other aspects of transaction origination and execution. He was also a member of Citi’s Fairness Opinion Committee, approving the issuance of fairness opinions on approximately 65 transactions, many involving early-stage and private companies.
From 2005 to 2015, David worked at Deutsche Bank in San Francisco, most recently as Co-head of Global Technology M&A, where he also served on the Fairness Opinion Committee. Earlier in his career, David worked in New York, Hong Kong and San Francisco in the M&A groups of Lazard, Morgan Stanley and Montgomery Securities.
David’s expertise includes M&A, valuation, fairness opinions, advisor conflicts, capital markets transactions, and deal structuring. He has advised on 28 transactions involving venture-backed private companies with complex equity consideration waterfalls and contingent consideration.
David serves as an expert witness in corporate and antitrust litigation involving technology and telecommunications companies and investment banks. He has provided testimony on topics including information disclosure in the sale of private technology companies, structural remedies, financial advisor fairness opinions, synergy analysis in large-scale mergers, Board evaluation of acquisition proposals and investment bank valuation analysis supporting an M&A transaction.
David has substantial experience with valuation analysis for public and private companies in both transactional and litigation settings, and he holds the Certified Valuation Analyst (CVA) credential. He is currently expanding his practice into damages analysis through advanced professional training.
David holds an MBA (with Distinction) from Harvard Business School and a Bachelor of Science in Commerce (with Distinction) from the McIntire School of Commerce at the University of Virginia, with a concentration in Finance. He also acts as the Chair of the Finance Council of a non-profit middle school serving students in San Francisco’s Tenderloin District.
